Welcome to Wappnest ("Service", "Platform", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our WhatsApp Business automation platform located at wappnest.com.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Wappnest provides a Software as a Service (SaaS) platform for WhatsApp Business automation. The Service allows you to:

• Connect your existing WhatsApp numbers instantly via QR code
• Send and receive all message types (text, media, documents, locations, contacts, polls, stickers, reactions)
• Create and manage marketing campaigns with segmentation and A/B testing
• Set up automations (keyword triggers, scheduled messages, business hours replies)
• Manage contacts with tags, custom fields, and import/export
• Manage WhatsApp groups
• Integrate AI chatbots
• Access a full REST API with webhooks for custom integrations
• Manage multiple WhatsApp numbers from one dashboard

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using our Service, you represent that you meet these requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep this information updated.

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Send unsolicited messages (spam) or messages to recipients who haven't consented
• Violate WhatsApp's Terms of Service or any applicable laws
• Send illegal, harmful, threatening, abusive, or harassing content
• Impersonate any person or entity
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Engage in any activity that could damage our reputation or the Service

Violation of these terms may result in immediate account suspension or termination without refund.

5. WhatsApp Compliance

Our Service integrates with WhatsApp for messaging automation. You acknowledge that:

• You must comply with WhatsApp's Terms of Service at all times
• WhatsApp may block or restrict your number if you violate their policies
• We are not responsible for any actions taken by WhatsApp against your account
• You should use rate limits and only message contacts who have given consent
• You are responsible for complying with anti-spam laws in your jurisdiction

Important: Message delivery depends on WhatsApp's infrastructure and is not guaranteed. We are not affiliated with WhatsApp or Meta Platforms, Inc.

6. Subscription and Payments

6.1 Plans and Pricing

Our Service is offered through various subscription plans. Prices are displayed in EUR and are subject to applicable VAT/taxes based on your location.

6.2 Billing

Subscriptions are billed monthly in advance. You authorize us to charge your payment method for all fees incurred.

6.3 Refund Policy

We offer a 30-day money-back guarantee for first-time subscribers. Refund requests must be submitted via email to contact@wappnest.com.

6.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of the current billing period.

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by BRANDNEST SRL and is protected by copyright, trademark, and other intellectual property laws.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for any actions taken by WhatsApp or message delivery failures

10. Indemnification

You agree to indemnify and hold harmless BRANDNEST SRL from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Modifications

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Continued use after changes constitutes acceptance.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

13. Governing Law

These Terms shall be governed by the laws of Romania. Any disputes shall be resolved in the courts of Satu Mare, Romania.
